Terms of Service

1. Acceptance of Terms

These Terms form a binding agreement between you and VibeCloud LLC, Arch. Makariou III, 195, NEOCLEOUS HOUSE, Limassol 3030, Cyprus. By creating an account, purchasing a plan, or using VibeCloud, you agree to them.

If you do not agree, do not use the service.

2. Description of Service

VibeCloud is an AI-native platform-as-a-service that lets you deploy local codebases through MCP, APIs, and compatible AI coding agents. Features may include builds, managed compute, databases, secrets, domains, TLS, logs, and related developer tooling.

We may improve or modify the service. If a material change removes core paid functionality, we will provide reasonable notice where practicable.

3. Eligibility

You must be at least 18 and legally able to enter this agreement. If you use VibeCloud for an organisation, you confirm that you can bind it to these Terms. Mandatory consumer rights, if applicable, remain unaffected.

4. Account

You are responsible for:

• Keeping credentials, API keys, MCP configuration, and recovery methods secure
• All activity under your account and promptly reporting suspected compromise

You must provide accurate information and keep billing and contact details current.

We may suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to use the service for:

• Illegal, fraudulent, deceptive, or sanctioned activities
• Malware, phishing, credential theft, spam, botnets, cryptojacking, or denial-of-service activity
• Unauthorised access, scanning, intrusion, interception, or circumvention of security controls
• Content or workloads that exploit, abuse, harass, or endanger others
• Infringement of privacy, confidentiality, intellectual property, or other third-party rights
• Reselling or benchmarking the service in a misleading way, or imposing unreasonable load

We may investigate abuse and proportionately restrict deployments, traffic, content, or accounts to protect users, infrastructure, and third parties. Where appropriate, we will notify you and provide a way to contact us.

6. User Content & Traffic

You are fully responsible for:

• Your source code, applications, prompts, secrets, data, domains, and traffic
• Having all rights and permissions needed to process that content
• Configuring your application and complying with applicable laws and third-party terms

You retain ownership of your content. You grant VibeCloud a limited worldwide licence to host, copy, transmit, build, modify solely for technical processing, and otherwise process it only as needed to provide, secure, support, and comply with law. We do not claim ownership of your code.

8. Fees and Payments

If applicable:

• Subscriptions are billed in advance on a recurring monthly or annual basis as shown at checkout
• Taxes may be added where required and you authorise our payment processor to charge your selected method
• You may cancel renewal before the next billing date; access continues through the paid term
• Fees are non-refundable except where required by law or expressly stated

We may change prices for a future renewal period with reasonable advance notice. Usage beyond plan limits may be restricted or billed only where the applicable pricing page or order form clearly says so.

9. Service Availability

We do not guarantee:

• Uninterrupted or error-free operation
• That every codebase will build successfully or be compatible with every runtime
• Permanent availability of beta, preview, or free features

We use reasonable skill and care in providing the service. Subject to mandatory law, it is otherwise provided "as is" and "as available". Scheduled maintenance, emergency work, upstream providers, and events outside reasonable control may affect availability.

10. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for:

• Indirect, incidental, special, punitive, or consequential loss
• Loss of profits, revenue, goodwill, business opportunity, or anticipated savings
• Data loss, downtime, failed deployments, or unauthorised access not caused by our breach of mandatory duties

Our aggregate liability arising from the service is limited to the greater of USD 100 or the fees you paid to VibeCloud in the 12 months before the event. Nothing excludes liability that cannot legally be limited, including fraud, wilful misconduct, or death or personal injury caused by negligence.

11. Indemnification

You agree to indemnify and hold us harmless from any claims arising from:

• Your content, applications, domains, data, or traffic
• Your violation of law, third-party rights, or these Terms
• Your misuse of the service or failure to secure your account

12. Termination

We may suspend or terminate access for material breach, security risk, unlawful use, non-payment, or to comply with law. We will provide notice and an opportunity to cure where reasonable, unless urgent action is needed.

You may stop using the service and cancel your subscription at any time. On termination, your right to use the service ends. You should export your content first; deletion follows our Privacy Policy and backup cycle. Provisions intended to survive termination remain effective.

14. Changes to Terms

We may update these Terms for legal, security, operational, or product reasons. We will publish the effective date and give reasonable notice of material changes. If you do not accept a material change, you may stop using the service before it takes effect.
